Please read these terms carefully before using the Snaplock platform. They govern your access and use of our services.
1. Introduction
Welcome to Snaplock ("we," "us," or "our"). By accessing or using our Services, you agree to these Terms. If you do not agree, you may not use the Service.

2. Nature of the Platform
Snaplock is an online digital marketplace platform that allows Users (Sellers and Buyers) to connect and transact directly with one another.
- Snaplock is NOT the Seller: Unless explicitly stated otherwise, Snaplock does not purchase, sell, resell, or take ownership of any items offered by Sellers on the Platform.
- Direct Transaction: Any contract for the sale of an Item is strictly between the Seller and the Buyer. Snaplock is not a party to any sale transaction and solely provides the technical infrastructure and tools to facilitate the transaction.
- No Guarantee: Snaplock does not guarantee the quality, safety, or legality of items advertised, the truth or accuracy of listings, or the ability of Sellers to sell items or Buyers to pay for items.
3. Eligibility and User Obligations
- Creators (Sellers) must be at least 18 years old or of legal age in their jurisdiction to form a binding contract. By using the service, you represent and warrant that you meet this age requirement.
- You warrant that you own or have all necessary rights, licenses, and permissions for all content you upload, and that all recognizable individuals in your content have given explicit consent.
- Sellers are solely responsible for maintaining the legality of their content and complying with all applicable laws in their jurisdiction.
4. Content Policy and Prohibited Material
Snaplock fosters a creative environment but strictly prohibits illegal material. We act as a passive conduit for user content but reserve the right to remove any content that violates these Terms.
4.1. Age-Restricted Content
Adult-oriented or sexually explicit content is permitted only if it complies with the following strict requirements:
- All individuals depicted must be at least 18 years of age.
- All content must be produced with the full, informed consent of all participants.
- Content must be appropriately tagged as "NSFW" or "Adult" and gated behind age-verification tools where required by the Platform.
4.2. Strictly Prohibited (Illegal) Content
We maintain a zero-tolerance policy for the following types of content. Uploading, distributing, or selling any of the following will result in immediate account termination and reporting to relevant authorities (such as NCMEC):
- Child Sexual Abuse Material (CSAM): Any depiction of minors in a sexual context.
- Non-Consensual Sexual Content: "Revenge porn," deepfakes, or content shared without the subject's explicit permission.
- Violence & Gore: Real-world violence, graphic gore, mutilation, or content promoting self-harm or suicide.
- Hate Speech: Content that promotes violence or hatred against individuals or groups based on race, ethnicity, religion, gender, or sexual orientation.
- Illegal Goods: Drugs, weapons, explosives, or instructions on how to create them.
5. Payments, Payouts, and Refunds
5.1. Seller Responsibility for Taxes:The Seller acknowledges and agrees that they are the retailer of record for all transactions. The Seller is solely responsible for determining, collecting, reporting, and remitting all applicable taxes, duties, levies, and charges (including VAT, Sales Tax, GST) arising from their sales on Snaplock. Snaplock is not responsible for collecting taxes on behalf of the Seller except where expressly required by marketplace facilitator laws.
5.2. Disclosed Agent Status:The Seller explicitly appoints Snaplock as a limited payment agent for the sole purpose of accepting funds from Buyers. Receipt of funds by Snaplock from the Buyer is deemed receipt of funds by the Seller.
5.3. Service Fees:Snaplock charges a Service Fee for the use of its platform. This fee is calculated separately from the item price and is deducted automatically from the transaction total.
5.4. Payout Schedule & Holds:
To ensure the security of the platform and cover potential disputes or chargebacks, Seller earnings are subject to a standard 7-day rolling hold period (or as otherwise specified in your dashboard) before becoming available for withdrawal. Snaplock reserves the right to extend this hold period for new accounts, high-risk transactions, or if we suspect fraud.
5.5. Refunds and Disputes:
Because Snaplock provides digital goods, all sales are final once the content is accessed or downloaded. Exceptions are made only if the content is defective, corrupted, or materially different from the Seller's description.
- Buyer Protection: If a Buyer does not receive the purchased content or it is materially different, they must open a dispute within 48 hours.
- Resolution: Snaplock reserves the right to mediate disputes and issue refunds from the Seller's pending balance if the Seller is found to be at fault.
6. Account Registration & Verification
- Accuracy: Account creation requires accurate, up-to-date, and complete personal information. You may not use a disposable or temporary email address.
- Identity Verification (KYC/KYB): To comply with anti-money laundering (AML) laws and payment processor requirements (such as Sumsub), Snaplock reserves the right to require government-issued identification (passport, driver's license) and business documentation before processing any payouts.
- Consent to Verify: You agree that your data may be processed by our third-party verification partners for the purpose of identity confirmation. Failure to provide requested verification documents may result in payout delays, account restrictions, or suspension.
- Security: You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
7. Intellectual Property
- The Snaplock service design, logo, and underlying code are the property of Snaplock and its licensors.
- By uploading content, the Seller grants Snaplock a non-exclusive, worldwide, royalty-free license to host, display, and distribute the content for the purpose of operating the Service.
- Infringing or stolen content is not permitted. We comply with the Digital Millennium Copyright Act (DMCA) and will remove infringing content upon valid notice.
8. Termination
Snaplock may terminate or suspend access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms, specifically Section 4 (Prohibited Content), or relevant laws. Upon termination, your right to use the Service will cease immediately.
9. Disclaimers & Liability
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Snaplock expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Snaplock shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use, or alteration of your transmissions or content.
10. Indemnification
You agree to defend, indemnify, and hold harmless Snaplock and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) your failure to comply with applicable tax laws or regulations.
11. Dispute Resolution and Governing Law
11.1. Mandatory Arbitration:To the fullest extent permitted by applicable law, any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Service shall be resolved by binding arbitration, rather than in court.
11.2. Class Action Waiver:You and Snaplock agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis. Neither you nor Snaplock will seek to have any dispute heard as a class action, a private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity.
11.3. Governing Law:These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
